PLEASE READ THE USER AGREEMENT BELOW AND INDICATE YOUR ACCEPTANCE BY CLICKING THE “AGREE” BUTTON AT THE END OF THE AGREEMENT. BY USING THIS SERVICE YOU AGREE TO BE BOUND BY THIS USER AGREEMENT, INCLUDING ALL AMENDMENTS MADE TO DATE AND AFTER THIS DATE, SO LONG AS YOU USE THE SYSTEM.

This system is an electronic system for accessing your Vera Water & Power account information. By completing the registration process, clicking the “agree” button, and using this service, you are indicating that you are 18 years old or older, and agree to be bound all the terms in this user agreement. You may print and keep a copy of this agreement. Vera Water & Power may change the terms of this user agreement. When the terms are changed, Vera Water & Power will amend this user agreement and post it at this website. Vera Water & Power may also notify you by e-mail; however, it is not required to do so. If you do not agree to be bound by the changes, you should not use this electronic service again and you should cancel by notifying the customer service representatives at (509) 924-3800, between the hours of 7:30 a.m. and 5:00 p.m. Monday through Friday, excluding holidays.

Even if you do not click on the “agree” button, if you use this Vera Water & Power electronic system and Vera Water & Power has posted the changes in the user agreement, you are agreeing now to be bound by all of the changes.

By clicking the “agree” button, you are agreeing that Vera Water & Power, and its processing agents, may store your account information as part of the registration process and usage information, and store individual statistical information as allowed by law. Vera Water & Power may, but is not required to, use the information to inform you about other Vera Water & Power services and products.

As a general policy, Vera Water & Power will not disclose to outside third parties any specific personal information about you, such as your name, address, phone number, account information or e-mail address, except as otherwise required by law. Vera Water & Power may use outside agents to facilitate this internet service and/or store data off site; however, any such agent will be responsible not to disclose information to outside third parties.

You agree that access to your account information may be gained by any person in possession of your account number and password and you agree to restrict the distribution of your account numbers and passwords to authorized personnel only. You agree to indemnify Vera Water & Power harmless from and against any claims, damages or causes of action arising from unauthorized use of this service should someone else obtain your password.

We recommend that you change your password regularly. We are entitled to supply account information received under your password. For security purposes it is recommended that you memorize the password and do not write it down. You are responsible for keeping your password and account information confidential. If you believe that your password may have been lost or stolen, or that an unauthorized person has been accessing your account information without your permissions, or if you suspect any fraudulent activity on your account, notify Vera Water & Power by calling (509) 924-3800, between the hours of 7:30 a.m. and 5:00 p.m.., Monday through Friday, excluding holidays.

Vera Water & Power may refuse to grant you a password that impersonates someone else, is protected by trademark or other proprietary laws, or is vulgar or otherwise offensive as determined by Vera Water & Power.

Under no circumstances will Vera Water & Power have any liability to you for failure to provide access to your account information through this service. Furthermore, unless otherwise required by applicable law, we will not be responsible for providing this online service, and will only be liable for material losses incurred by you to the extent such losses directly result from our gross negligence or intentional misconduct in providing this online service.

IN NO EVENT WILL WE HAVE LIABILITY FOR ANY CONSEQUENTIAL, SPECIAL, PUNITIVE OR INDIRECT LOSS OR DAMAGE WHETHER OR NOT ANY CLAIM FOR SUCH DAMAGE IS BASED ON TORT OR A CONTRACT, OR WE KNEW OR SHOULD HAVE KNOWN THE LIKELIHOOD OF SUCH DAMAGES AND ANY CIRCUMSTANCES.

Vera Water & Power makes no warranties or representations of any kind with respect to this information service whether expressed or implied including, but not limited to, merchantability or fitness for a particular purpose. Neither will we or our suppliers or anyone else who has been involved in the creation, production or delivery of this online service assume any responsibilities with respect to your use thereof. No oral or written information or advice given by us or our suppliers or any of their employees shall create or increase the scope of any warranty or in any way decease this limitation, and you may not rely upon any such information or advice. Any cause of action concerning this service under this agreement must be commenced within one year after such cause of action has occurred.

Except to the extent that we are liable under the terms of this agreement or otherwise provided by law, you agree to indemnify and hold us, our directors, officers, employees and agents harmless from all loss, liability, claims, demands, judgments and expenses arising out of or in any way connected with this service or performance of this service. This indemnification is provided without regard to whether or claim for indemnification is due to the use of the service by you, your authorized representative or someone using your password.

This service is provided free of charge. We may offer additional services in the future that will be subject to fees and charges. We may impose a fee or charge for this service in the future; however, prior to doing so notice will be placed on the website.

Use of this service requires an internet connection. You are responsible for providing the necessary hardware and/or software to access the internet and this service.

Vera Water & Power may block online access to your account if Vera Water & Power determines: (a) that you have violated or acted inconsistently with the conditions of use, (b) that you have violated the rights of Vera Water & Power, or (c) there may have been a breach of security, even if no breach has occurred.

Vera Water & Power may discontinue or change this service or its availability to you at any time and you may always terminate your use at any time. This agreement is personal to you and you may not assign your right or obligation to anyone. If any provision in this agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This agreement, your rights and obligations, and all acts as contemplated by this agreement shall be governed by the laws of the State of Washington and, where applicable, the laws of the United States of America, as if the agreement was a contract wholly entered into and wholly performed within Washington State. Any legal action relating to this agreement shall be held in Spokane County, Washington.

Vera Water & Power will not be held liable for any delays, inaccuracies, errors or omissions due to the delays of the processing of the data hereunder.
